Bayer initiates auditor rotation process
Supervisory Board planning to propose PwC as auditor from 2027 at Annual Stockholders’ Meeting
Leverkusen, September 9, 2025 – The Supervisory Board of Bayer AG has decided to propose PricewaterhouseCoopers GmbH (PwC) as auditor of the Annual Financial Statements of Bayer AG and the Consolidated Financial Statements of the Bayer Group for fiscal 2027, with a corresponding resolution to be put forward at the Annual Stockholders’ Meeting. The Supervisory Board decision was based on a recommendation by its Audit Committee.
As regards the audit of the Annual Financial Statements of Bayer AG and the Consolidated Financial Statements for Bayer Group for 2026, the Supervisory Board intends to propose current auditor Deloitte GmbH at the 2026 Annual Stockholders’ Meeting.
The change in auditor from 2027 is based on a legal rotation requirement, since Deloitte GmbH will have reached the maximum time of auditor engagement as set out under the FISG, the German law to strengthen financial market integrity, once it has completed its audit of the 2026 Financial Statements. Deloitte has been auditing the Annual Financial Statements of Bayer AG and the Consolidated Financial Statements of the Bayer Group since fiscal 2017.
Prior to the Supervisory Board reaching its decision to propose PwC as auditor, Bayer conducted a tender in line with the relevant provisions under the EU Regulation on the statutory audit of public-interest entities. The selection process was carried out at an early stage in order to give the new auditor an adequate amount of time to cease non-audit services, thus ensuring a smooth transition.
