Frequently Asked Supplier Questions on Monsanto Acquisition and Divestments

We depend on the support of our trusted suppliers to continue to deliver value to farmers and transform agriculture around the world.

Even though the acquisition of Monsanto already took place and we are currently working on the integration of the two companies, Monsanto and Bayer will continue to operate as two separate legal entities in many countries for several years.

If you are a supplier, you can find more information on how the acquisition may impact you in the section “Acquisition”. The closing of the acquisition approval was conditional of certain divestments. Affected suppliers from the divestments are being contacted separately. Acquisition 

Are there any changes in the company’s name, address, and tax information?

For the time being, there will be no changes. Please ensure to send goods and invoices as indicated in the respective purchase order. In case of changes, we will update you in a timely manner.

Who is my contact for questions regarding purchase orders, invoicing and payments?

Please continue to interact with your current procurement contact and follow the same process until further notice.

Will my supplier manager change?

Please continue to interact with your current procurement contact and follow the same procedures until further notice.

Will existing terms & conditions change?

We will continue to adhere to all established agreements and conditions. In case of requests for changes to terms & conditions, we will make sure to approach you in a timely manner.

What changes should I expect regarding my role as supplier?

There will be no immediate changes in the supplier relationships. In case of changes, we will contact you in a timely manner.

Can I combine shipments for Monsanto and Bayer for different sites?

Combining shipments is not possible. Please continue to adhere to the ship-to address location as stated in the purchase order. We will ensure to contact you in a timely manner in case of changes.

Can I combine invoices and/ or accounts?

Combining invoices is not possible as Bayer and Monsanto use separate systems for invoice processing. Therefore, please continue to issue separate invoices. Maintenance and reconciliation of account balances should also remain separate.

When will I start receiving harmonized purchase orders from the combined company?

There will be no immediate changes in the current format of purchase orders. In case of changes, we will contact you in a timely manner.

Divestments 

Am I affected by Bayer’s divestments?

For the Vegetable Seeds business, purchase orders are canceled or adapted on or shortly after Day 1 - in case the purchase order is placed in the name of a Bayer legal entity. New purchase orders will be re-generated within the first week after the divestment, becoming effective under the name of the respective acquirer legal entity name.

If affected – what will happen to my open Purchase Orders?

In case your Purchase Orders were affected by the transfer of business to Acquirer, they have been cancelled or adjusted in the Bayer system.
New Purchase Orders are set-up by the Acquirer with reference to the old Bayer Purchase Order.

If affected – where do I send my invoice?

For goods shipped before Closing of the divestment, please invoice to Bayer on time according to agreed terms & conditions. For services performed before closing of the divestment, please invoice to Bayer on time according to agreed terms & conditions.

Will the invoicing process at the Acquirer be the same?

The Acquirer will inform you on changes to the established process. Please note that Electronic Data Interchange (EDI) will not be available.

Who is my contact for questions regarding purchase orders, invoicing and payments?

For questions regarding Purchase Orders or invoices with shipment / service performed before closing of the divestment, please approach your usual Bayer contact in procurement or accounts payable.

Is this applicable for the Vegetable Seeds business?

For the Vegetable Seeds business purchase orders are canceled or adapted on or shortly after Day 1 in case the purchase order is placed in the name of a Bayer legal entity. New purchase orders will be re-generated within the first week after the divestment becoming effective under the name of the respective acquirer legal entity name.
