Stockholder Statements
Right to submit statements
Stockholders had the option to submit statements in text form via the online Stockholders’ Portal from Tuesday, April 1, 2025 up until Saturday, April 19, 2025, 24:00 CEST.
Statements had to be written in German and contain no more than 10,000 characters (including spaces).
The Stockholders’ Portal is operated on behalf of Bayer AG by Computershare Deutschland GmbH & Co. KG according to the instructions of Bayer AG agreed by way of a contractually regulated cooperation.
Statements were not a valid option for submitting motions, proposals for election, requests for information or objections to the resolutions of the Annual Stockholders’ Meeting, with stockholders instead required to follow the separate procedure outlined in the Notice.
Statements submitted following the correct procedure prior to the Annual Stockholders’ Meeting were available to view here, along with the name of the respective stockholder, until May 30, 2025.
